Software License Agreement
TAYLOR GUITARS END USER AGREEMENT

License. The term "Software" includes all Taylor Guitars and third party ("Supplier") software provided to you with this product. The term "Software" also includes any updates of the Software provided to you by Taylor Guitars at its option. Subject to the terms of this Agreement, Taylor Guitars grants to you, and you accept, a personal, non-exclusive, and nontransferable (except as set forth below) license to use the object code version of the Software.

Limitations on Use. You may not copy, rent, lease, sell, sublicense, assign, loan, time-share or otherwise transfer or distribute copies of the Software to others.

You agree that you will not decompile, disassemble, or otherwise reverse-engineer the Software, and you will use your best efforts to prevent your employees and contractors from doing so. You may not modify, adapt, create a derivative work, merge, or translate the Software without the prior written consent of Taylor Guitars.

Intellectual Property Rights. You acknowledge that Taylor Guitars retains exclusive ownership of all copyrights, trademarks, patents and/or other intellectual property rights in the Software and the Documentation. You are not granted any rights in the Software other than the license rights expressly set forth above.

Term and Termination. The term of this license is for the duration of any copyright in the Software. This license automatically terminates if you fail to comply with any of the terms and conditions of this agreement. You agree that, upon such termination, you will either destroy (or permanently erase) all copies of the Software. You may voluntarily terminate this license at any time by destroying or erasing all copies of the software.

Disclaimer of Warranties. THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. ALL OTHER WARRANTIES ARE DISCLAIMED, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR THAT THE SOFTWARE'S FUNCTIONS WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE AND THE DOCUMENTATION IS WITH YOU. IF THE SOFTWARE PROVES DEFECTIVE AFTER RECEIPT, YOU, AND NOT TAYLOR GUITARS, ASSUME THE ENTIRE COST OF SERVICE OR REPAIR.

Liability Exclusions and Limitations. IN NO EVENT SHALL TAYLOR GUITARS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS, LOSS OF USE OR INTERRUPTION OF BUSINESS), OR FOR LEGAL FEES, ARISING OUT OF THE USE OF THE SOFTWARE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR OTHERWISE, EVEN IF TAYLOR GUITARS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Severability. You acknowledge and agree that each provision of this agreement that provides for a disclaimer of warranties or an exclusion or limitation of damages represents an express allocation of risk, and is part of the consideration of this agreement. Invalidity of any provision of this Agreement shall not affect the validity of the remaining provisions of this Agreement.

General. This Agreement is the entire agreement between you and Taylor Guitars relative to the Software, and supersedes all prior written statements, proposals or agreements relative to its subject matter. It may be modified only by a writing executed by an authorized representative of Taylor Guitars. No Taylor Guitars dealer or sales representative is authorized to make any modifications, extensions or additions to this agreement. This Agreement is governed by the laws of the State of California as applied to transactions taking place wholly within California between California residents, without application of its conflicts of law principles.
